These API Terms of Use (“Terms”) govern access to and use of the Masabi APIs made available online by Masabi LLC and/or Masabi Limited (“Masabi”, “we”, “us”, or “our”). By accessing or using the Masabi APIs, you agree to be bound by these Terms.
If you do not agree, you must not access or use the Masabi APIs.
In these Terms:
- “API Credentials” means keys, tokens, certificates, or other access credentials issued by Masabi.
- “Confidential Information” has the meaning set out in the dedicated section of this document.
- “Documentation” means technical documentation, guides, and specifications provided by Masabi relating to the Masabi APIs.
- “Justride Platform” means Masabi’s Justride transit fare payments platform.
- “Masabi APIs” means any application programming interfaces, endpoints, sample code, SDKs, and Documentation made available by Masabi that enable access to or interaction with the Justride Platform.
- “Permitted Purpose” means developing, testing, and operating applications that integrate with the Masabi APIs in accordance with these Terms.
- “You” or “Developer” means the individual or legal entity accessing or using the Masabi APIs.
Masabi may provide you with access to the Masabi APIs via remote electronic means and may issue API Credentials at its discretion.
You are responsible for:
- keeping API Credentials secure and confidential; and
- all activity conducted using your API Credentials.
Masabi may suspend or revoke access to the Masabi APIs at any time, with or without notice, including for security, operational, or compliance reasons.
Subject to these Terms, Masabi grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Masabi APIs solely for the Permitted Purpose.
This license is:
- limited to the territory specified in the Documentation (if any); and
- subject to the restrictions.
You must not, and must not permit any third party to:
- use the Masabi APIs for any purpose other than the Permitted Purpose;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying ideas from the Masabi APIs, except to the extent expressly permitted by law;
- copy, modify, or create derivative works of the Masabi APIs or Documentation;
- remove or obscure proprietary notices;
- resell, sublicense, or make the Masabi APIs available to third parties;
- use the Masabi APIs in a manner that interferes with, disrupts, or degrades Masabi systems or services;
- use the Masabi APIs in violation of any applicable law or regulation.
Unless otherwise expressly agreed in writing, access to the Masabi APIs is provided at no charge. Masabi reserves the right to introduce fees or usage limits in the future upon reasonable notice.
These Terms commence when you first access or use the Masabi APIs and continue until terminated.
Masabi may terminate or suspend your access immediately if you breach these Terms or if Masabi reasonably believes continued access poses a risk.
Upon termination:
- all rights granted to you cease immediately; and
- you must stop using the Masabi APIs and delete all copies of Documentation in your possession.
All intellectual property rights in and to the Masabi APIs, Documentation, and the Justride Platform remain the exclusive property of Masabi or its licensors.
These Terms do not transfer ownership of any intellectual property rights to you.
The Masabi APIs may be subject to export control laws and regulations of the United States, the United Kingdom, and other jurisdictions. You agree to comply with all applicable export and import laws and regulations and indemnify Masabi for any breach of this obligation.
THE MASABI APIS ARE PROVIDED “AS IS” AND “AS AVAILABLE”.
MASABI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.
Confidential Information means any non-public technical, business, or commercial information disclosed by Masabi, including details of the Masabi APIs and the Justride Platform.
You must:
- keep Confidential Information confidential;
- use it only to exercise your rights under these Terms; and
- protect it using reasonable security measures.
Confidentiality obligations survive termination of these Terms.
To the maximum extent permitted by law, Masabi’s total aggregate liability arising out of or in connection with these Terms or the Masabi APIs shall not exceed USD 100.
Masabi shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business.
You agree to indemnify and hold harmless Masabi from any claims, losses, liabilities, damages, and expenses arising from your use of the Masabi APIs or breach of these Terms.
Masabi shall not be liable for failure or delay caused by events beyond its reasonable control, including network failures, acts of God, governmental actions, or pandemics.
- Assignment: You may not assign these Terms without Masabi’s prior written consent.
- No partnership: These Terms do not create any partnership, joint venture, or agency relationship.
- Severability: Invalid provisions shall be severed without affecting the remainder.
- Entire agreement: These Terms constitute the entire agreement regarding the Masabi APIs.
These Terms are governed by the laws of the State of New York, and the courts of New York shall have exclusive jurisdiction.
By accessing or using the Masabi APIs, you acknowledge that you have read, understood, and agreed to these Terms.
